There are two types of equipment agreements: (1) agreements that require the award of a subcontract when a main contract is entered into, and (2) agreements to try to negotiate a subcontract when a main contract is entered into. Our lawyers analyze and design agreements between and between government contractors, focusing on key issues such as due diligence, proprietary information protection, intellectual property rights, financing and payment, cartel and abuse implications, dispute resolution and ownership issues for small businesses. The CTA team agreement should determine the role and responsibility of each team member in the work done at the contract level. These roles and responsibilities are defined by the team, not the government. The team, however, is another concept. FAR`S SOUS-PARTIE 9.6 defines a contract as an agreement in which: 1. two or more companies form a partnership or joint venture to act as a potential prime contractor, or 2) a potential prime contractor is agreed with one or more other companies that they act as subcontractors under a government contract or acquisition program. It is essentially an agreement on the development of a subcontract for the specific acquisition once it has been awarded. Buyers are responsible for achieving and setting their specific goals for small businesses, including a specific report to the Federal Procurement Data System (FPDS).
Under the CTA, each contractor has a contract with the buying activity. When a GSA calendar contract is entered into with a CTA, the contract performance of small businesses is based on the dollar amount of work done by small contractors under the contract. FPDS currently only accepts information about a contract contractor. The buyer must determine which CTA member recognizes that the turnover is overweight in a market and disclose the contractor`s information to FPDS. The Schedules CTA does not create a separate legal entity, but allows Schedule contractors to meet the buyer`s requirements by combining deliveries and/or separate schedule contract services from each team member in response to a buyer`s bid requirement.
